1. Acceptance of terms
By accessing or using Sitora, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the service.
If you use Sitora on behalf of a company, contractor, developer, or other organization, you represent that you have authority to bind that organization to these terms.
2. About Sitora
Sitora is owned and operated by Codapulse Global Pvt. Ltd., a company registered in Nepal with its principal place of business in Kathmandu, Nepal.
Sitora is provided as a business software platform. Features may include project planning, inventory and procurement, finance and accounting workflows, workforce and attendance records, documents, notifications, reporting, and related administrative tools.
3. Accounts and access
Access to Sitora is provided through invitations or accounts created by an authorized workspace administrator. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
You must provide accurate registration information and promptly update it when it changes. You must notify your workspace administrator immediately if you suspect unauthorized access to your account.
5. Customer and workspace data
Operational data entered into Sitora by you or your organization, including project records, financial entries, inventory data, workforce information, files, and audit logs, remains the responsibility of the customer organization that owns the workspace.
Codapulse Global Pvt. Ltd. processes this data only to provide, secure, maintain, support, and improve the service, unless otherwise agreed in writing.
6. Prohibited conduct
You must not misuse Sitora. Without limitation, you must not:
- access or attempt to access another user's account or data without authorization;
- interfere with, disrupt, probe, or reverse engineer the service or its security controls;
- upload malware or use the service to send unlawful, infringing, or harmful content;
- scrape, harvest, or export data outside permitted product features except as authorized by your organization;
- use the service in a manner that violates applicable law or third-party rights.
7. Service availability and changes
We work to keep Sitora reliable and secure, but the service is provided on a commercially reasonable efforts basis. Scheduled maintenance, updates, outages, or third-party failures may occasionally affect availability.
We may modify, suspend, or discontinue features with reasonable notice where practicable. We may also impose reasonable limits on storage, API usage, exports, or other resources to protect platform stability.
8. Intellectual property
Sitora, including its software, design, documentation, trademarks, and related materials, is owned by Codapulse Global Pvt. Ltd. or its licensors and is protected by applicable intellectual property laws.
These terms do not transfer ownership of the platform to you. You receive a limited, non-exclusive, non-transferable right to use Sitora according to your authorized workspace access.
9. Confidentiality
Each party may receive non-public information through use of the service. You agree to protect workspace and business information in accordance with your organization's policies and applicable law.
Codapulse Global Pvt. Ltd. will handle customer data using appropriate administrative, technical, and organizational safeguards and will access it only as needed to operate, secure, and support the service.
10. Controlled support access
Authorized Codapulse support or security personnel may start a controlled support-access session only for a documented support request, troubleshooting, data correction, or security incident. The operator must have the required platform permission, re-enter their password, provide a current authenticator code, and record a reason and ticket reference.
Support sessions are read-only, time-limited, logged, and blocked from sensitive areas such as payroll, bank accounts, payments, documents, chats, exports, active sessions, and two-factor settings. We send the affected user start and end alerts. The user can review the operator, reason, ticket, time, and status, and revoke an active session from Sitora.
A support session may expose other workspace information that the target user is permitted to view. If you receive an unexpected support-access alert, revoke the session and contact your workspace administrator or Codapulse immediately.
11. Fees and billing
If your organization has a paid subscription or commercial agreement with Codapulse Global Pvt. Ltd., pricing, billing cycles, taxes, and payment terms are governed by that agreement.
Where no separate commercial agreement exists, access may be provided under trial, evaluation, or internal deployment terms communicated by Codapulse Global Pvt. Ltd. or your workspace administrator.
12. Suspension and termination
We may suspend or terminate access to Sitora if we reasonably believe these terms have been violated, if required by law, if payment obligations are not met under a commercial agreement, or if continued service poses a security or legal risk.
Your organization may deactivate or remove users at any time. Upon termination, access to the workspace will end, and data handling will follow the applicable agreement, retention settings, and Privacy Policy.
13. Disclaimers
To the fullest extent permitted by law, Sitora is provided "as is" and "as available." Codapulse Global Pvt. Ltd. does not warrant that the service will be uninterrupted, error-free, or fit for every particular construction, accounting, or regulatory workflow.
You are responsible for verifying that records, reports, calculations, and operational decisions made using Sitora meet your professional, contractual, and legal requirements.
14. Limitation of liability
To the fullest extent permitted by applicable law, Codapulse Global Pvt. Ltd. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, business opportunity, or goodwill arising from use of Sitora.
To the extent liability cannot be excluded, Codapulse Global Pvt. Ltd.'s aggregate liability arising out of or relating to the service will not exceed the amount paid by the customer organization for the service in the twelve months preceding the event giving rise to the claim, or NPR 50,000 if no fees were paid, whichever is greater unless a separate written agreement states otherwise.
15. Indemnification
You agree to indemnify and hold harmless Codapulse Global Pvt. Ltd., its directors, employees, and agents from claims, losses, liabilities, and expenses arising from your misuse of the service, violation of these terms, or infringement of third-party rights, except to the extent caused by Codapulse Global Pvt. Ltd.'s intentional misconduct or gross negligence.
16. Governing law and disputes
These Terms of Service are governed by the laws of Nepal, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these terms or Sitora will be subject to the exclusive jurisdiction of the competent courts in Kathmandu, Nepal, unless the parties agree otherwise in writing.
17. Changes to these terms
We may update these Terms of Service from time to time. When we make material changes, we will provide notice through the product, by email where appropriate, or by updating the effective date on this page.
Continued use of Sitora after the updated effective date constitutes acceptance of the revised terms.
